FORK Creator Agreement

1. About This Agreement

This Creator Agreement ("Agreement") is between you ("you," "your," or "Creator") and FORK ([Legal Entity Name — to be confirmed]) ("FORK," "we," "us," or "our"), the operator of the FORK marketplace at forkitover.ai (the "Marketplace").

It applies whenever you publish, list, or sell AI prompts or related content on the Marketplace. By publishing any content as a Creator, you agree to these terms. If you do not agree, do not publish content on FORK.

This Agreement works alongside the FORK Terms of Service and Privacy Policy. Where this Agreement covers something specific to being a Creator, this Agreement controls; for everything else, the Terms of Service apply.

2. Definitions

To keep the rest of this Agreement readable, here is what a few key terms mean:

• "Prompt" or "Content" means any prompt, instruction set, template, workflow, example, or related material you publish on FORK.
• "Credits" are the in-app currency buyers use on FORK. One credit equals US$0.10. Buyers purchase credits in bulk and spend them to unlock content.
• "Unlock" means a buyer spending credits to gain access to the full version of one of your Prompts.
• "Fork" means a new Prompt that another Creator builds on top of an existing published Prompt, creating a lineage of related work.
• "Earnings" means the credits you have earned from unlocks and fork royalties that are eligible to be cashed out.
• "Stripe Connect" is the payment service FORK uses to send your payouts and to verify your identity.

3. Who Can Be a Creator

To publish content on FORK, you must:

• Be at least 18 years old (or the age of majority where you live, if higher).
• Have the legal capacity to enter into this Agreement, either on your own behalf or on behalf of a business you are authorized to represent.
• Hold a FORK account in good standing that has not been suspended or terminated.
• Complete Stripe Connect onboarding and identity verification before you can receive any payout (see Section 9).
• Provide accurate account, tax, and payout information and keep it up to date.

If you publish on behalf of a company or other organization, you confirm that you are authorized to bind that organization to this Agreement, and "you" includes that organization.

FORK may decline, limit, or revoke Creator access at its discretion, including where required to protect buyers, other Creators, or the integrity of the Marketplace.

4. You Keep Ownership of Your Prompts

You own your Prompts. Publishing on FORK does not transfer ownership of your content or any intellectual property in it to FORK or to buyers. We do not claim your work as ours.

What you do give us is a license to run the Marketplace on your behalf. Specifically, you grant FORK a worldwide, non-exclusive, royalty-free license to:

• Host and store your Prompt on our systems.
• Display a locked preview (such as a title, summary, sample output, or partial teaser) so buyers can decide whether to unlock it, without revealing the full Prompt before purchase.
• Market and promote your Prompt across the Marketplace and in FORK's own marketing channels.
• Deliver the full Prompt to buyers who unlock it, and to the Creators of valid forks where applicable.
• Make technical copies and format adaptations needed to operate, secure, back up, and improve the Marketplace, including applying a content fingerprint and similar protective measures.

This license lasts as long as your Prompt is published on FORK. If you remove a Prompt or your account is terminated, the license ends going forward, except as needed to honor access that buyers have already paid for (see Section 13) and to keep records we are required to retain.

You also grant FORK a license to use your Creator name, handle, and profile information to attribute and promote your published work.

5. The License Buyers Receive on Unlock

When a buyer spends credits to unlock your Prompt, you grant that buyer a personal, worldwide, non-exclusive, non-transferable, perpetual license to use the unlocked Prompt for their own personal or internal business purposes, including running it through AI tools and adapting it for their own use.

The buyer license does not allow a buyer to:

• Resell, redistribute, sublicense, or publicly post your full Prompt as their own product.
• Republish it on FORK or any competing marketplace as a stand-alone listing without adding their own substantial original work (a valid fork is different — see Section 7).
• Remove or tamper with any content fingerprint, attribution, or protective marking.

If your listing includes downloadable files (such as a Skill package, agent instructions, knowledge files, or code), the buyer license also lets the buyer use and run those files for their own personal or internal business purposes, on the same terms — they may not redistribute, repackage, or resell the files as a standalone product, and they must respect any license terms and attribution contained inside the files, including those of any bundled open-source components.

Buyers keep access to Prompts they have already unlocked, even if you later unpublish the Prompt or leave FORK. This is a core promise of the Marketplace, and you agree your buyer license survives the end of this Agreement for unlocks completed before it ended. Access to any associated downloadable files may be suspended if a listing is removed for an intellectual-property or policy violation.

FORK delivers the buyer license on your behalf; we are not a party to it as the licensor, but we will help enforce these usage limits through our content protection and moderation tools.

6. Originality and Anti-Plagiarism Promises

FORK is built to protect Creators' work, and that only works if every Creator publishes content they are entitled to publish. For each Prompt you publish, you promise that:

• You either created it yourself or you have all rights and licenses needed to publish and license it on FORK.
• It is original to you and is not copied, scraped, or substantially derived from someone else's prompt, product, or other protected material without permission.
• It does not infringe anyone's intellectual property, contractual, privacy, or other rights.
• You are not reselling, repackaging, or relisting another Creator's work (whether from FORK or elsewhere) as your own.

Uploaded files. If you include downloadable files with a listing (such as a Skill package, agent instructions, knowledge files, or code), you make these same promises about everything inside those files, and you additionally promise that: (a) you own or are properly licensed to distribute all code, assets, and data they contain; (b) any open-source or third-party components are documented and included in compliance with their licenses (including any required notices or attribution); (c) the files contain no malware, backdoors, or other malicious code, and no passwords, API keys, credentials, or other people's private data; and (d) distributing the files complies with applicable export-control and other laws. FORK does not inspect, scan, or validate the contents of uploaded files for originality, licensing, malware, or infringement, and you remain fully responsible for them.

FORK runs an originality check on new Prompts. If a Prompt is too similar to existing content — at or above a 40% similarity threshold against the library — the originality gate will block it from being published. Passing the originality check does not transfer responsibility to FORK; you remain responsible for the originality and rights to your content.

FORK also applies a content fingerprint to published Prompts and may use other technical measures to detect duplication and trace leaks. You agree not to circumvent, remove, or defeat these measures, and not to publish content designed to evade them.

7. Forks and Building on Others' Work

FORK encourages Creators to build on each other's published Prompts through forking. A fork is a new Prompt that starts from an existing one and adds your own meaningful, original improvement.

When you publish a fork:

• Your fork must add genuine original value and must still pass the originality gate; you cannot use forking as a way to relist someone else's work with trivial changes.
• The Prompt you build directly on is the "parent," and the earliest Prompt at the root of the chain is the "origin." FORK records this lineage automatically.
• The Creators in that lineage earn fork royalties on your fork's unlocks, as described in Section 8.

By forking, you accept that your own published Prompts may likewise be forked by other Creators, who will then earn the primary revenue share on their forks while you earn fork royalties as a parent or origin in their lineage.

8. Pricing Rules

You set the price of your Prompt in credits, within the rules FORK applies to keep pricing fair for buyers and Creators alike:

• FORK shows a suggested fair-price window for each Prompt based on its type and depth. Pricing inside that window is recommended; pricing far outside it may be flagged, adjusted, or blocked.
• To prevent undercutting, a fork cannot be priced below the anti-undercut fork floor tied to its lineage. This protects the parent and origin Creators from having their work re-sold cheaper through a fork.
• Prices are denominated in credits (1 credit = US$0.10). FORK may set minimum and maximum price points and may change the suggested windows over time.

FORK may adjust, hide, or unpublish listings that violate these pricing rules, are clearly mispriced, or are used to manipulate the Marketplace.

9. Your Revenue Share and Fork Royalties

When a buyer unlocks your Prompt, you earn 70% of the unlock price in credits. This 70% goes to you, the publishing Creator, on every unlock, regardless of how deep the fork lineage is.

The remaining 30% is split between fork royalties (to the Creators in the lineage, if any) and the FORK platform fee, as follows:

• No fork (your own original Prompt): you earn 70%; FORK keeps 30%.
• One ancestor (a single parent): you earn 70%; the parent earns 10%; FORK keeps 20%.
• Two ancestors: you earn 70%; the parent earns 10%; the origin earns 10%; FORK keeps 10%.
• Three or more ancestors: you earn 70%; the parent earns 10%; the origin earns 3%; a 7% pool is split evenly among the Creators between the parent and origin; FORK keeps 10%.

A self-payment guard applies: if you appear in your own Prompt's lineage, your duplicate share is not paid to you twice — that slice is treated as if that ancestor were not there. If an ancestor Prompt has been deleted, it is removed from the lineage before the split is calculated.

These percentages may be updated for future unlocks if FORK changes the revenue model; we will give reasonable notice of material changes, and changes will not retroactively alter Earnings already credited to you.

10. Payouts

Your Earnings accrue continuously in your FORK wallet as buyers unlock your Prompts and as you earn fork royalties. Cashing out those Earnings to your bank works as follows:

• Payouts are processed weekly in batches.
• You can cash out your earnings only. Credits you purchased yourself are not eligible for cash-out; only Earnings from unlocks and fork royalties can be withdrawn.
• The minimum cash-out is US$10, equal to 100 credits. If your cashable balance is under US$10, it stays in your wallet until it reaches the minimum. If your balance is below the minimum and you believe you should be paid out, contact support@forkitover.ai.
• Payouts are sent via Stripe Connect. You must complete Stripe Connect onboarding and identity verification before any payout can be released. Until verification is complete, Earnings will accrue but cannot be withdrawn.
• You are responsible for keeping your Stripe Connect and bank details accurate. Payouts may be delayed or held where required for verification, fraud prevention, chargebacks, refunds, or legal compliance.

FORK relies on Stripe to move funds and is not responsible for delays caused by Stripe, your bank, or incorrect details you provide. Stripe's own terms also apply to your use of Stripe Connect.

11. Taxes

You are responsible for all taxes on the income you earn from FORK. FORK does not withhold income tax on your behalf and does not provide tax advice.

If you are a US person, you must provide a valid Form W-9 (or the correct equivalent) as part of your payout setup. Where required by law, FORK or its payment processor will issue a Form 1099 reporting your earnings.

If you are outside the US, you are responsible for providing any tax forms we or Stripe reasonably request and for meeting your own local tax obligations.

We may withhold, delay, or decline payouts if you have not provided required tax information, and you agree to keep that information current.

12. Your Warranties and Indemnity

By publishing on FORK, you represent and warrant that, for every Prompt you publish:

• You have all rights necessary to publish and license it as described in this Agreement.
• It is original to you or properly licensed, and does not infringe or violate anyone's rights.
• It does not contain unlawful, harmful, deceptive, malicious, or prohibited content, and complies with FORK's Terms of Service and content rules.
• The information you provide about it (including any sample output and pricing) is accurate and not misleading.
• For any files you upload, you own or are properly licensed for all of their contents, you have disclosed and complied with the licenses of any bundled open-source or third-party components, and the files contain no malware, credentials, or other people's private data.

You agree to indemnify and hold harmless FORK ([Legal Entity Name — to be confirmed]), its affiliates, and their officers, employees, and agents from and against any claims, damages, losses, liabilities, and reasonable costs (including legal fees) arising out of or related to your content, your breach of this Agreement, your warranties above, or your violation of any law or third-party right. This indemnity expressly includes claims arising from the contents of any files you upload — including copyright, patent, trade-secret, and trademark claims, open-source license violations, and any malware, security, or data-exposure harm those files cause to buyers or to the systems that run them.

This indemnity survives the end of this Agreement.

13. Content Moderation and Takedowns

Content on FORK is user-generated and AI-related. Some library content is AI-generated demonstration output and is labeled "Sample output" so buyers know it is illustrative rather than a guaranteed result.

FORK may review, moderate, and remove content. We may unpublish, hide, restrict, or remove any Prompt that:

• Violates this Agreement, our Terms of Service, or applicable law.
• Fails the originality gate, infringes someone's rights, or is reported through a valid intellectual-property complaint.
• Is misleading, harmful, or harmful to the trust and safety of the Marketplace.

If you believe your work has been copied and listed by someone else on FORK, send a notice to our designated agent at [Designated agent name and contact — to be confirmed] / support@forkitover.ai, including enough detail to identify the content and your rights. We will review valid notices and may remove infringing content and act against repeat infringers.

Removing a Prompt does not by itself entitle you to a refund of fees, and it does not remove access already granted to buyers who unlocked the Prompt before removal (see Section 14).

14. Suspension, Termination, and What Happens to Existing Unlocks

You may stop being a Creator at any time by unpublishing your Prompts and/or closing your account. FORK may suspend or terminate your Creator access, with or without notice, if you breach this Agreement, create risk for buyers or other Creators, or where required by law.

When this Agreement or your Creator access ends:

• The licenses you granted to FORK for ongoing operation end going forward, except where we need limited rights to honor existing buyer access, complete pending payouts, and keep records we are legally required to retain.
• Buyers keep access to any Prompt they already unlocked before termination. The buyer license described in Section 5 survives for those completed unlocks, and you agree FORK may continue to deliver and display that already-purchased content to those buyers.
• Earnings already credited to you remain payable, subject to the payout rules in Section 10, any required tax steps, and any holdbacks for refunds, chargebacks, or investigations.
• Sections that by their nature should continue (including ownership, the buyer license for completed unlocks, warranties, indemnity, taxes, and dispute terms) survive termination.

15. Changes to This Agreement

FORK may update this Agreement from time to time. If we make material changes, we will give reasonable notice through the Marketplace or by contacting you.

Changes apply to content you publish and earnings you accrue after the change takes effect. Continuing to publish on FORK after a change means you accept the updated Agreement. Changes will not retroactively reduce Earnings already credited to you before the change.

16. Governing Law and Disputes

This Agreement is governed by [Governing law — to be set by counsel, e.g., the State of ___, USA], without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to this Agreement will be handled in accordance with the dispute-resolution and venue provisions set out in the FORK Terms of Service, in the courts or forum located at [Venue / jurisdiction — to be confirmed by counsel].

This document is a working draft prepared for review by FORK's legal counsel. Bracketed items — the legal entity name, governing law and venue, designated agent details, and registered address — are placeholders to be confirmed and completed by counsel before this Agreement is published or relied upon.

Counsel should also confirm alignment with the FORK Terms of Service, Privacy Policy, and Stripe Connect requirements, and verify the tax-reporting and money-transmission positions for the jurisdictions in which FORK operates.
